This is an agreement between your company (the “Company”) and MBS OPCO, LLC (“Marketron”) and may expand the rights and licenses Company has granted to Marketron under any existing agreements between Company and Marketron (the “Existing Agreements”) to use and disclose Company’s data. You represent that you have the authority to accept this agreement on behalf of Company. To the extent of any conflict between this agreement and the Existing Agreements, this agreement will control with respect to the subject matter hereof. For purposes of this agreement: “Your Service Providers” means third parties with whom Company has a relationship and who have represented to Marketron that they have Company’s permission to receive Company’s data from Marketron’s systems, and to use and disclose such data in the manner in which they ultimately use and disclose such data. By clicking “I Accept”, Company hereby grants Marketron the right and license to copy and allow Your Service Providers to retrieve, or to otherwise disclose, any of Company’s data stored on Marketron’s systems. Further, Company agrees that Company will not bring or initiate any claim, suit, or proceeding against Marketron arising from or related to Marketron’s disclosing of Company’s data to Your Service Providers in accordance with this agreement. Company may revoke the rights and licenses granted hereunder by notifying Marketron pursuant to the notice provision in the most-recent Existing Agreement with Marketron; provided Marketron will have a reasonable period of time (not less than 10 business days) from receipt of such notice to terminate access and use of Company’s data.
